NOTICE
Notice is hereby given that on 14 October 2005 Privilege Insurance Company Limited (PICL) and Direct Line Insurance plc (DLI) applied to the High Court of Justice for an Order under Part VII of the Financial Services and Markets Act 2000 (FSMA) sanctioning an insurance business transfer scheme providing for the transfer of the general insurance business conducted by PICL to DLI (the Scheme) and for an Order making provision under section 112 of FSMA.
Copies of a report on the terms of the scheme prepared by an independent expert and required under section 109 of FSMA (the Scheme Report) and a statement setting out the terms of the Scheme and containing a summary of the Scheme Report can be obtained free of charge from the website at www.directline.com/legal/transferofbusiness or by writing to Isabelle Hammond at Compliance Department, RBS Insurance, Floor 1, Phase One, Churchill Court, Westmoreland Road, Bromley, Kent BR1 1DP or by emailing isabelle.hammond@directline.com
The Application is directed to be heard before the Companies Court Judge at the Royal Courts of Justice, Strand, London WC2A 2LL on 15 December 2005. Any person who alleges that he or she would be adversely affected by the carrying out of the Scheme is entitled, under section 110 of FSMA, to be heard at the hearing and may appear either in person or by legal representative. Any person who intends to appear at the hearing, and any policyholder of PICL or DLI who dissents from the Scheme but does not intend so to appear, is requested to give not less than four clear days prior notice in writing of such intention or dissent (including the reasons for that intention or dissent) to the solicitors named below.
Note: The Scheme does not apply to any Privilege branded insurance policies taken out at any time on or after 1 January 2001 as these were underwritten by DLI and not by PICL. No changes will be made to any of those policies as a result of the Scheme. If you are in any doubt as to whether your policy is affected by the Scheme, please telephone the dedicated Helpline on 0845 878 6058 for guidance. Lines will be open from 9.00 am to 5.00 pm Monday to Friday until 14 December 2005.
