Resolutions for Winding-up

Passed - 9 September 2009

At a General Meeting of the members of the above named companies, duly convened and held at Abbey National House, 2 Triton Square Regent’s Place, London NW1 3AN on 9 September 2009 the following Special Resolutions were duly passed:

1. That the company be wound up voluntarily.

2. That the liquidator be and is hereby authorised to distribute the assets of the company in specie.

The following Ordinary Resolution was also passed:

3. That Kevin Goldfarb of the firm of Griffins, Insolvency Practitioners, be and he is hereby appointed Liquidator of the companies for the purposes of the voluntary winding up.
